These Terms of Service ("Terms") govern your access to and use of the marketing automation, CRM, and communication services provided by Digii Solution ("Digii Solution," "we," "us," or "our"). Please read them carefully before using our services.

1. Introduction

Digii Solution is a digital marketing and automation company that provides marketing automation, CRM, and communication tools. By accessing or using any of our websites, platforms, software, or services (collectively, the "Services"), you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Digii Solution provides marketing automation and customer relationship management (CRM) tools, including but not limited to SMS and MMS messaging, email marketing, call tracking, lead capture and routing, appointment booking, pipelines, and client communication systems. Our Services may be delivered through, integrated with, or powered by third-party platforms, including but not limited to GoHighLevel, telecommunications carriers, email service providers, and other vendors (collectively, "Third-Party Providers").

Your use of certain features may be subject to the terms, policies, and technical limitations imposed by these Third-Party Providers. You acknowledge that we do not control the operation of such third-party networks and platforms and that your use of the Services is subject to their rules, including carrier and messaging regulations.

3. A2P Messaging Compliance

If you use the Services to send SMS or MMS messages, you must comply with all applicable laws, regulations, and industry guidelines governing application-to-person (A2P) messaging, including but not limited to:

• A2P 10DLC registration and carrier policies for messaging in the United States; • Telephone Consumer Protection Act (TCPA) and related FCC regulations; • CTIA guidelines and carrier acceptable use policies; • CAN-SPAM Act, where applicable to email and SMS messaging; and • Any other applicable federal, state, provincial, or international laws.

You agree and understand that:

• You must obtain valid, prior, express consent (opt-in) from each recipient before sending any SMS, MMS, or automated message. • You may not use purchased, rented, scraped, or third-party lists, nor may you message contacts who have not directly provided consent to you. • You must clearly disclose the nature and purpose of your messaging program, including message types and approximate frequency, at the time of opt-in. • Every marketing or informational message must include clear opt-out instructions, such as "Reply STOP to unsubscribe" (or local equivalent), and opt-out requests must be honored promptly. • You must comply with all carrier content restrictions, volume limits, and registration requirements, including brand and campaign registrations under A2P 10DLC where applicable.

Digii Solution reserves the right, in its sole discretion, to review, suspend, or terminate messaging functionality or account access if we reasonably believe that your use of the Services violates carrier rules, these Terms, or any applicable law or regulation. This may occur with or without prior notice where required to protect carriers, recipients, or Digii Solution from risk or liability.

4. Consent & Opt-In Requirements

You are solely responsible for obtaining and documenting valid consent from each end user before sending any SMS, MMS, email, or automated communication through the Services. Valid opt-in may include, as permitted by applicable law:

• Web forms where the user enters their contact information and affirmatively agrees (e.g., via an unchecked checkbox) to receive messages; • Signed or written agreements that clearly authorize messaging to a specific phone number or email address; • Double opt-in flows where the user confirms their subscription via reply or confirmation link; and • Other methods that meet or exceed the consent standards required by applicable laws and carrier policies.

You must maintain accurate records of consent, including the source, date, and method of opt-in, and provide such records to Digii Solution upon reasonable request in the event of a complaint, audit, or carrier inquiry. Consent must be freely given, specific, informed, and unambiguous. Unless expressly allowed by law and clearly disclosed, consent must not be a condition of purchase of goods or services.

5. Prohibited Use

You may not use the Services for any unlawful, abusive, or improper purpose. Prohibited uses include, without limitation:

• Sending unsolicited messages (spam) or messages to recipients who have not provided valid consent; • Engaging in deceptive, fraudulent, or misleading practices, including misleading sender IDs or false claims; • Promoting or facilitating illegal activities, scams, phishing, or financial fraud; • Distributing content related to hate, harassment, violence, or discrimination; • Distributing pornography, sexually explicit content, or adult services; • Promoting controlled substances, illegal drugs, weapons, or other restricted goods or services in violation of law or carrier policies; and • Attempting to circumvent carrier rules, spam filters, rate limits, or registration requirements.

6. Client Responsibilities

You, as the client or account holder, are solely responsible for:

• The content of all messages, emails, campaigns, and communications sent through the Services; • The collection, management, and documentation of all required consents and opt-ins; • Honoring opt-out, unsubscribe, and do-not-contact requests in a timely manner; • Configuring your workflows, automations, and integrations in a compliant manner; and • Ensuring that your use of the Services complies with all applicable laws, regulations, carrier rules, and these Terms.

You agree to indemnify, defend, and hold harmless Digii Solution, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any law, regulation, or carrier policy; or (d) any claim arising from the content of messages or the lack of proper consent from recipients.

7. Service Suspension & Termination

Digii Solution may, with or without prior notice, suspend or limit your access to the Services if we reasonably determine that:

• Your use of the Services creates a security risk or may adversely impact the operation of the Services or our infrastructure; • Your activities trigger carrier complaints, high opt-out rates, or spam reports; • You are engaged in or suspected of engaging in unlawful or prohibited activities; or • Such action is required to comply with applicable law, regulation, or a request from a carrier or regulatory authority.

We may terminate your account or access to certain features if your messaging privileges are revoked or materially restricted by carriers or Third-Party Providers as a result of your conduct or failure to comply with their requirements. Upon termination, your right to use the Services will immediately cease. We may, but are not obligated to, retain your data for a limited period, subject to our Privacy Policy and applicable law.

8. Limitation of Liability

You acknowledge that the delivery of SMS, MMS, email, and other communications depends on various third-party networks, carriers, and providers that are outside the control of Digii Solution. We do not guarantee that any message, campaign, or communication will be delivered, will be delivered without delay, or will be delivered without error or filtering by carriers or inbox providers.

To the maximum extent permitted by law, Digii Solution will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profits, revenues, data, business opportunities, or goodwill, arising out of or in connection with your use of the Services, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim arising out of or relating to the Services or these Terms will not exceed the amount you paid to Digii Solution for the Services during the three (3) months immediately preceding the event giving rise to the claim.

9. Privacy & Data Handling

Your use of the Services is also governed by our separate Privacy Policy, which describes how we collect, use, store, and protect personal data and communications processed through the Services. By using the Services, you acknowledge and agree to the practices described in our Privacy Policy.

You represent and warrant that you have provided all necessary notices and obtained all necessary consents from your customers, leads, and other end users whose data you upload to or process through the Services. You further acknowledge that you act as the data controller (or equivalent under applicable law) with respect to such data, and Digii Solution acts as a service provider or processor on your behalf.

10. Modifications to Terms

Digii Solution may update, modify, or replace these Terms from time to time in its sole discretion. When we do so, we will update the "Last updated" date at the top of this page and may provide additional notice where required by law. Any changes will be effective upon posting the revised Terms on our website, unless a later effective date is specified.

Your continued access to or use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Services.

11. Governing Law

These Terms and any dispute arising out of or relating to the Services will be governed by and construed in accordance with the laws of the United States and, to the extent applicable, the laws of the state in which Digii Solution is organized or primarily operates, without giving effect to any choice or conflict of law provision or rule. You agree that the exclusive jurisdiction and venue for any legal action or proceeding arising out of or related to these Terms or the Services will be the state and federal courts located within the applicable state in the United States, and you consent to the personal jurisdiction of such courts.
